Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ShelfSnap mobile application and website at shelf-snap.com (collectively, the "Services") provided by WinWin Network Corp. ("Company," "we," "us," or "our"). By downloading, installing, or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering a binding contract to use ShelfSnap. By using the Services, you represent and warrant that you meet these requirements.

2. Account Registration

You may create an account using an email address and password, or via Sign in with Apple. You are responsible for:

• Providing accurate, current, and complete account information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account

Notify us immediately at [email protected] if you suspect unauthorized use of your account.

3. License to Use ShelfSnap

Subject to these Terms, WinWin Network Corp. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the ShelfSnap app on iOS devices you own or control, solely for your personal, non-commercial reselling business activities.

You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, sell, sublicense, or transfer the App to any third party
• Use the App to build a competing product or service
• Use automated tools to scrape, crawl, or extract data from the Services

4. Your Content

You retain ownership of all item data, photos, and other content you create or upload through ShelfSnap ("Your Content"). By using the Services, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Services to you.

You represent and warrant that you own or have the right to use all content you submit, and that your content does not infringe any third party's intellectual property rights or violate any applicable law.

We are not responsible for the accuracy of item descriptions, pricing, or any other content you create. You are solely responsible for your listings and any transactions that result from them on third-party platforms.

5. Subscription and Payments

ShelfSnap offers free and paid subscription tiers. Paid subscriptions are purchased through Apple's In-App Purchase system and are subject to Apple's terms and conditions.

• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
• You can manage and cancel subscriptions through your Apple ID account settings.
• We do not process refunds directly — refund requests for in-app purchases must be submitted to Apple at reportaproblem.apple.com.
• Subscription pricing is displayed in the App prior to purchase.

6. Acceptable Use

You agree to use the Services only for lawful purposes. You shall not:

• Use the Services for any illegal activity or to facilitate illegal sales
• Upload content that is fraudulent, misleading, or misrepresents items you are selling
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the security, integrity, or performance of the Services
• Upload malicious code or software designed to damage or alter systems or data

7. Third-Party Platforms

ShelfSnap generates CSV files formatted for import to Whatnot and other reselling platforms. We are not affiliated with, endorsed by, or responsible for Whatnot or any other third-party platform. You are responsible for compliance with the terms and policies of any third-party platform to which you export your data.

Platform CSV formats and requirements may change without notice. We will endeavor to update ShelfSnap accordingly but do not guarantee compatibility at all times.

8. Camera and Photo Library

ShelfSnap requests permission to access your device's camera and photo library to capture and store product photos. You may grant or revoke these permissions through your device settings at any time. Revoking camera or photo library access will limit certain App functionality.

9. Intellectual Property

All content, features, and functionality of the Services (excluding Your Content) are owned by WinWin Network Corp. or its licensors and are protected by applicable intellectual property laws. The ShelfSnap name, logo, and product design are trademarks of WinWin Network Corp. No rights are granted except as expressly stated in these Terms.

10. Privacy

Our Privacy Policy, available at shelf-snap.com/privacy, describes how we collect and use your information. By using the Services, you agree to our Privacy Policy.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to the Services or other users. You may terminate your account at any time by contacting us at [email protected].

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THAT CSV EXPORTS WILL BE ACCEPTED BY ANY THIRD-PARTY PLATFORM.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINWIN NETWORK CORP. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless WinWin Network Corp. and its officers, directors, and agents from any claim, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, or your violation of these Terms.

15. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of the Services will be resolved by binding arbitration under JAMS rules, rather than in court, except for small claims court actions or injunctive relief for intellectual property infringement. You waive the right to participate in class action lawsuits or class-wide arbitration.

To initiate arbitration, provide written notice to [email protected]. Prior to arbitration, the parties will attempt to resolve disputes informally for 30 days. You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing [email protected].

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

16. Apple App Store Terms

The following terms apply because the App is distributed through the Apple App Store:

• These Terms are between you and WinWin Network Corp. only, not with Apple, Inc. Apple is not responsible for the App or its content.
• The license granted is limited to use on Apple-branded products you own or control.
• Apple has no obligation to provide maintenance or support for the App.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notification or email. Continued use of the Services after changes become effective constitutes your acceptance.
